01

Introduction and Acceptance

These Terms govern the BPEC PRO website, accounts, talent directory, enquiries, bookings, campaigns, promotional services, training and related activities. BPEC PRO is operated by the legal entity identified in this document. Users agree to applicable contractual terms by expressly accepting them, registering, or confirming a service. Mere browsing does not itself create payment obligations. Separate accepted quotations, booking confirmations and written service agreements may apply.

02

Definitions

“Platform” means the BPEC PRO website and authorized digital services. “Client” means a brand, business, organization or representative seeking services. “Talent Member” means a registered promoter, influencer, presenter, creator, model or other professional. “Campaign” means agreed promotional work. “Booking” means a confirmed engagement. “Service Agreement” means an accepted quotation, statement of work, booking confirmation or written contract. “Official Campaign” means an engagement authorized by BPEC PRO. “Independent Engagement” means an arrangement outside BPEC PRO’s contractual involvement.

03

Nature of the Business

BPEC PRO is a brand promotion and talent network that may act as a direct service provider, media publisher, talent sourcing and booking coordinator, campaign manager, production provider or intermediary, depending on the engagement. Its responsibilities depend on its actual role, agreement, representations, operational control and applicable law.

04

Scope of Services

Services may include brand promotion, influencer and micro-influencer campaigns, presenter/host bookings, online and offline promotion, social-media advertising, sponsored content, video/reels production, product demonstrations, promotional reviews, events, corporate activations, fashion/runway promotion, brand ambassador coordination, featured placements, training and related services. Availability and terms may vary.

05

User Eligibility and Authority

Users entering binding commercial agreements must have legal capacity. Persons representing organizations must have authority to bind them. Participation by minors requires applicable legal safeguards and parental/guardian authorization where necessary. BPEC PRO may reasonably request identity, age, authority or business evidence.

06

Account Registration and Security

Registration may use Google Sign-In or other authorized methods. Users must provide accurate details, protect access credentials, update material changes and promptly report suspected misuse. Impersonation, fraudulent bookings and unauthorized commercial use are prohibited. BPEC PRO may impose proportionate security or verification controls.

07

Talent Registration and Profiles

Talent Members may select multiple approved categories, including Brand Promoter, Influencer, Micro-Influencer, Content Creator, UGC Creator, Presenter/Host, Online/Offline Promoter, Event Promoter, Product Demonstrator, Campaign Representative, Model/Campaign Face and Fashion/Runway Model. Members must have rights to submitted photographs, portfolios and social-media information. Registration does not guarantee bookings, employment, income or selection.

08

Verification and Professional Status

Verification confirms only that specified checks were performed; it is not a guarantee of character, audience authenticity, future conduct, performance or suitability. BPEC PRO may reasonably review, correct, suspend or revoke verification where information is inaccurate, outdated or noncompliant.

09

Independent Talent Relationships

A profile listing or booking opportunity does not by itself create employment, partnership, joint venture or general agency. The actual legal relationship depends on the agreement, working arrangements and applicable law. No clause removes statutory employment protections where they apply.

10

Personal Activities and Independent Engagements

Talent Members are responsible for their independent statements, private conduct, unauthorized promotions and outside contracts. Listing or past association alone does not make such conduct an official BPEC PRO activity. Members may not imply company authorization without approval. BPEC PRO remains responsible where its own acts, omissions, direction, control or legal obligations establish liability.

11

Official Campaigns and Company Responsibility

Official Campaigns require authorization through an approved company process or representative. BPEC PRO must perform its agreed duties and comply with applicable law. Talent Members must follow lawful briefs, schedules, deliverables, disclosure rules and professional standards. Subcontracting does not automatically extinguish company liability.

12

Brand and Client Obligations

Clients must provide accurate identities, briefs, product and service details, lawful advertising claims, permissions and supporting documents where needed. They must not require misleading or unlawful promotions. BPEC PRO may decline or suspend campaigns presenting legitimate legal, safety or reputational risks, without excluding its own legal duties.

13

Enquiries, Quotations and Booking Confirmation

An enquiry or talent profile view is not a confirmed booking. Confirmation requires agreement on scope, availability, price, payment conditions and acceptance. Quotations may expire. Confirmations should record parties, services, dates, location, deliverables, fees and material conditions.

14

Campaign Scope, Deliverables and Approvals

The Service Agreement should specify deliverables, deadlines, platforms, location, content, approvals and responsibilities. Clients must provide timely materials and cooperation. Material revisions, reshoots or changes may require revised charges and schedules. Completion is assessed against agreed outputs.

15

Pricing, Packages and Offers

BPEC PRO may offer published packages, indicative rates, promotions and custom quotations. Fees vary by talent, reach, duration, format, production, location and third-party commitments. Discounts are subject to stated conditions. Confirmed prices cannot be retrospectively changed without a lawful contractual basis or required consent.

16

Payment Terms and Financial Obligations

Applicable fees may include booking, management, campaign, production, advertising, training and third-party charges. Payment milestones and due dates must be stated in the accepted quotation, invoice or agreement. Use only official payment channels. Lawful suspension for material nonpayment requires appropriate contractual grounds and notice.

17

Talent Fees, Service Charges and Third-Party Costs

Campaign budgets may include distinct talent compensation, BPEC PRO management fees, media spend, production, venue, travel and vendor costs. These should be identified where commercially relevant. No undisclosed fee may be imposed contrary to an accepted agreement. Independent parties remain responsible for their own payment commitments unless otherwise agreed or required by law.

18

Taxes, VAT and Statutory Charges

VAT, taxes, withholding and statutory charges will be treated in accordance with applicable law. Quotations and invoices should state whether prices include applicable tax. Tax consequences of refunds must reflect lawful adjustments and actual accounting treatment.

19

Cancellation, Refund and Rescheduling

The published Refund & Cancellation Policy and accepted service-specific terms apply, subject to mandatory legal rights. Refund calculations may consider completed work, confirmed talent reservations, media spend and evidenced nonrecoverable costs. Cancellation fees must be lawful and disclosed before agreement. Company service failures remain subject to applicable remedies.

20

Talent Cancellation, Substitution and Non-Performance

Talent Members must promptly report inability to perform. Unexcused absence or material breach may trigger proportionate contractual remedies. BPEC PRO may propose replacements or rescheduling; material substitutions requiring client approval cannot be imposed contrary to agreement. Remedies follow the contract and law.

21

Online and Offline Promotional Activities

Campaigns may involve online content, live sessions, advertising, field activations, roadshows, exhibitions and events. Participants must follow lawful venue rules, safety requirements and professional instructions. Travel, accommodation, equipment, security and permissions should be allocated in the Service Agreement.

22

Advertising Integrity and Regulated Promotions

False endorsements, fabricated testimonials, manipulated engagement, unsupported claims and unlawful promotion are prohibited. Paid relationships must be disclosed when legally or contractually required. Gambling, betting and other restricted activities may not be promoted unlawfully or without necessary authorization. BPEC PRO may reject noncompliant work.

23

BPEC PRO Media and Social Channels

BPEC PRO may publish paid content through owned or managed website and social channels. Publication follows agreed format, schedule, placement and duration. Independent community posts do not automatically represent company endorsement. BPEC PRO remains responsible for its own legally relevant approval, publication and moderation.

25

Content Production and Intellectual Property

Rights in pre-existing material remain with their lawful owners. Campaign-specific ownership, licensing, platforms, territory, duration, editing, exclusivity and advertising rights must be defined in the Service Agreement. Payment alone does not necessarily transfer all rights. Parties warrant appropriate permissions for supplied materials.

26

Image, Likeness, Voice and Personality Rights

Commercial use of a Talent Member’s name, photograph, likeness, voice or performance requires appropriate authorization and legal basis. Agreements should define platforms, purpose, duration, paid advertising, editing and territory. Participation does not itself grant perpetual unrestricted rights.

27

User Content and Portfolios

Users retain applicable rights in lawful submissions and grant BPEC PRO a limited nonexclusive license to host, format and display submitted material as necessary for requested profile and service purposes. Unrelated commercial exploitation requires a separate basis. Infringing, defamatory, misleading or unlawful content may be moderated or removed.

28

Website Intellectual Property

The BPEC PRO name, logo, original website content, software, designs and protected materials remain owned by BPEC PRO or lawful rights holders. Ordinary site access does not grant commercial reproduction or trademark rights. Impersonation and unauthorized exploitation are prohibited.

30

Events, Training and Professional Programs

Programs may be subject to separate eligibility, attendance, venue, safety, payment and cancellation conditions. Certificates must accurately identify their issuer and significance. Attendance does not guarantee employment, professional accreditation or income unless expressly and lawfully promised.

31

Reviews, Ratings and Testimonials

Reviews must be authentic and relevant. Fabricated ratings, impersonation and deceptive endorsements are prohibited. BPEC PRO may proportionately moderate spam, abuse, unlawful or materially misleading content, without misrepresenting testimonials as genuine.

32

Prohibited Activities

Fraud, impersonation, harassment, illegal promotion, malware, unauthorized access, security attacks, privacy violations, intellectual property infringement, manipulation of engagement, and misuse of company identity or confidential information are prohibited. Automated access that compromises security or lawful operations may be restricted.

33

Confidentiality and Business Information

Confidential client, pricing, campaign, personal and technical information may be used only for authorized purposes. Exceptions include information lawfully public, independently developed, properly received without restriction or legally required to be disclosed. Separate confidentiality agreements may apply.

34

Personal Data and Privacy

Personal information is handled under BPEC PRO’s Privacy Policy and applicable law. Users may not exploit profile or booking data for harassment or unauthorized marketing. Public professional details are not unrestricted permission for unrelated processing.

35

Third-Party Platforms and Providers

Services may rely on Google, Meta, Facebook, Instagram, TikTok, YouTube, payment providers, hosting, venues and independent production partners. Their own terms and technical decisions may apply. BPEC PRO cannot control independent outages or algorithms, but remains responsible for its own contractual and legal obligations.

36

Commercial Performance and Results

Unless an authorized agreement expressly guarantees a measurable result, BPEC PRO does not guarantee sales, followers, leads, views, impressions, bookings or conversions. This does not excuse failure to deliver specifically agreed outputs or performance commitments.

37

Account Suspension and Termination

BPEC PRO may proportionately restrict or terminate accounts for material breach, fraud, unlawful conduct, security threats or serious misrepresentation. Reasonable notice and opportunity to respond should be provided where practicable; urgent protective measures may be immediate. Accrued obligations and lawful claims survive.

38

Complaints, Allegations and Investigations

BPEC PRO may review complaints, seek evidence, preserve records and cooperate with lawful authorities. Allegations do not automatically establish guilt or company responsibility. Equally, a talent’s independent status does not eliminate liability arising from company involvement. Lawful complaints and reporting rights remain protected.

39

Warranties and Service Disclaimers

BPEC PRO must perform agreed services in accordance with contract and law. Talent profiles and audience statistics may change. Uninterrupted availability of third-party systems cannot be guaranteed. Mandatory statutory warranties, obligations and remedies remain unaffected.

40

Limitation of Liability

Liability is assessed under the relevant agreement, proven facts and applicable law. Listing a talent does not alone create liability for unrelated independent acts. Any exclusion of indirect loss applies only if lawful and enforceable. Nothing excludes fraud, wilful misconduct or other non-excludable liability.

41

Indemnification

To the extent lawful, a contracting user may indemnify BPEC PRO for reasonably established third-party claims directly caused by that user’s material breach, unlawful acts, fraud or infringement. Claims require evidence and reasonable mitigation. No indemnity covers liability attributable to BPEC PRO’s own unlawful conduct or non-excludable duties.

42

Force Majeure

Qualifying events beyond reasonable control may excuse or delay affected performance to the extent permitted by law. The affected party should notify the other when practicable and mitigate impact. Rescheduling, partial performance, termination and refunds remain subject to agreement and mandatory rights.

43

Communications and Notices

Official communications may use registered email, website notifications and authorized contact channels. Users must keep details current and verify sensitive payment instructions. Material contractual notices must be delivered in a legally appropriate form.

44

Dispute Resolution

Parties should initially seek good-faith resolution through written complaints and discussion. Mediation or other agreed lawful procedures may follow. Nothing removes access to competent courts, regulators or mandatory consumer remedies.

45

Governing Law and Jurisdiction

These Terms are governed by applicable laws of Bangladesh. Disputes may be brought before courts or authorities with lawful jurisdiction, subject to mandatory jurisdiction and consumer rules. Mandatory foreign protections, if actually applicable to a cross-border transaction, are not waived.

46

Changes to These Terms

Changes may reflect law, operations or services. The current version and effective date will be published. Material changes require appropriate notice or renewed acceptance where applicable. Existing confirmed rights cannot be changed unilaterally where additional agreement is legally required.

47

Order of Precedence

Specific accepted Service Agreement provisions prevail over general Terms for the relevant engagement where lawful. The Privacy Policy and Refund & Cancellation Policy govern their respective subject matter. Mandatory legal protections always prevail.

48

Severability, Waiver and Assignment

An invalid provision is ineffective only to the necessary extent; remaining provisions continue where lawful. Non-enforcement once is not permanent waiver. Assignments must not unlawfully prejudice counterparties and remain subject to applicable consent and law.

49

Entire Agreement

These Terms, expressly incorporated policies and the accepted Service Agreement form the applicable contractual framework and supersede inconsistent informal statements on the same matter, without excluding fraudulent misrepresentation or non-excludable rights.
